1. Acceptance of Terms

By accessing and using MightyWidgets ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Use, please do not use our Service.

2. Description of Service

MightyWidgets provides a web-based platform that allows users to create, customize, and embed widgets (including but not limited to slideshows, testimonials, reviews, and other interactive components) on their websites. The Service includes:

Widget creation and customization tools
AI-assisted widget editing
File hosting for images and media
Widget hosting and content delivery
Admin dashboard for widget management
Embedding capabilities for user websites

3. User Accounts

You must be at least 13 years of age to use the Service. If you are under the age of majority in your jurisdiction, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the Service, you represent that you meet these requirements.

To use certain features of the Service, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and update your information to keep it accurate and current
Maintain the security of your password and account
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use of your account

4. Credits System and Billing

MightyWidgets operates on a credits-based system. Credits are consumed by the following activities:

Widget loads: Credits are consumed each time a published widget is loaded on your website
AI editing: Credits are consumed when using AI-assisted widget editing, with costs varying based on the complexity of each request
AI image generation: Credits are consumed when generating images using AI
Live data feeds: Credits are consumed each time a connected feed (such as Google Reviews, Instagram, TikTok, X, or Facebook) is refreshed. Feed refresh costs vary based on the data source and are charged automatically on a recurring schedule while the feed is active

Additional billing terms:

Subscription plans include monthly credits that reset each billing cycle
Top-up credit packs can be purchased through our payment processor (Stripe) and never expire
Subscription payments are recurring and can be cancelled at any time
All purchases are final and non-refundable unless required by law
You are responsible for monitoring your credit balance
Widgets may stop functioning if your credit balance reaches zero
We may change credit costs, consumption rates, or plan features with reasonable notice
Each plan includes storage limits for uploaded files; if you downgrade and exceed your new plan's limit, a grace period will apply before excess files are removed

5. AI Features

The Service includes AI-powered features that help you create and edit widgets. When you use these features:

Your widget content (HTML, CSS, JavaScript), conversation messages, and project context are sent to third-party AI service providers for processing
AI-generated content is provided as-is — you are responsible for reviewing and approving any changes before publishing
We do not guarantee the accuracy, quality, completeness, or appropriateness of AI-generated content, including but not limited to generated code, text, images, layouts, and functionality
AI-generated content may contain errors, inaccuracies, security vulnerabilities, accessibility deficiencies, or code that does not function as intended
You are solely responsible for testing, reviewing, and validating all AI-generated content before publishing or deploying it on your website
AI-generated content does not constitute professional advice of any kind, including but not limited to legal, medical, financial, tax, accessibility, or compliance advice
We make no representations that AI-generated content complies with any applicable laws, regulations, industry standards, or accessibility requirements (including WCAG, ADA, GDPR, or similar frameworks)
You are solely responsible for ensuring that any content you publish — whether AI-generated or not — complies with all applicable laws and regulations in your jurisdiction

6. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations
Infringe on intellectual property rights of others
Upload or display illegal, harmful, or offensive content
Distribute malware, viruses, or harmful code
Attempt to gain unauthorized access to our systems
Interfere with or disrupt the Service or servers
Use the Service for fraudulent purposes
Scrape, copy, or duplicate our Service or content
Resell or redistribute the Service without authorization

7. Content Ownership and License

Your Content: You retain all rights to content you upload to the Service. By uploading content, you grant MightyWidgets a worldwide, non-exclusive, royalty-free license to use, store, display, and distribute your content solely for the purpose of providing the Service.

AI-Generated Content: The intellectual property status of AI-generated content is evolving and may vary by jurisdiction. We make no representations or warranties regarding the copyrightability, intellectual property status, or exclusivity of any content generated by AI features. You use AI-generated content at your own risk and are solely responsible for determining whether it infringes any third-party intellectual property rights.

Our Content: The Service, including its design, features, and functionality, is owned by MightyWidgets and protected by copyright, trademark, and other intellectual property laws.

8. Third-Party Services and Live Data Feeds

The Service integrates with third-party services including payment processors, cloud infrastructure providers, AI service providers, and data providers. Your use of features that rely on these services is subject to their respective terms and privacy policies. We are not responsible for third-party services or their content.

Live Data Feeds: The Service may display content from third-party platforms including Google, Instagram, TikTok, X (Twitter), and Facebook. You acknowledge and agree that:

We do not guarantee the accuracy, availability, completeness, or timeliness of third-party feed data
Third-party feeds may become unavailable, change format, or be discontinued at any time without notice
You are solely responsible for complying with the terms of service of any third-party platform whose content you display through the Service
We are not liable for any claims arising from your display of third-party content, including copyright or intellectual property claims from content owners or platform operators

9. Embedded Widgets and End Users

Widgets created through the Service are designed to be embedded on third-party websites and viewed by end users who are not parties to these Terms. You acknowledge and agree that:

MightyWidgets has no direct relationship with, and assumes no liability to, the end users who view or interact with your embedded widgets
You are solely responsible for the content, functionality, and legal compliance of widgets you embed on your websites, including any data collection, privacy disclosures, or consent requirements
If your widget collects personal information from end users (for example, through a form), you are the data controller and are responsible for providing appropriate privacy notices and obtaining any required consents
MightyWidgets is not liable for any claims, damages, or losses arising from an end user's interaction with your embedded widget

10. Service Availability and Modifications

NO UPTIME GUARANTEE: We strive to provide reliable service but make NO GUARANTEES OR WARRANTIES about service availability, uptime, or functionality. We expressly disclaim any implied or express warranties of continuous, uninterrupted, or secure access to the Service.

You acknowledge and agree that:

Widgets may experience downtime, failures, or malfunction at any time
Widget functionality may be degraded, interrupted, or unavailable due to factors including but not limited to: internet connectivity, third-party service failures, server issues, software bugs, maintenance, updates, or technical problems
We do not guarantee any specific uptime percentage or service level
Your widgets may stop functioning without notice
You are solely responsible for implementing backup solutions or redundancy if widget availability is critical to your business
We are not liable for any business losses, damages, or consequences resulting from service interruptions or widget failures

We reserve the right to, at any time and without liability:

Modify, suspend, or discontinue any part of the Service, temporarily or permanently
Change pricing and credit costs with reasonable notice
Update these Terms of Use at any time
Perform maintenance that may affect availability
Limit or restrict access to features or functionality
Terminate the Service entirely

IMPORTANT: Do not rely on MightyWidgets as mission-critical infrastructure. We provide the Service on a best-effort basis only.

11. Termination

We may suspend or terminate your account if:

You violate these Terms of Use
You engage in fraudulent activity
Your account has been inactive for an extended period
Required by law or legal process

You may terminate your account at any time by contacting us. Upon termination:

Your right to use the Service ceases immediately
Remaining included plan credits are forfeited; unused top-up credits are non-refundable
Your published widgets will stop functioning
We will retain your data for 30 days following termination, during which you may contact us to request an export of your content
After the 30-day retention period, your data — including widgets, files, and account information — will be permanently deleted
We are not obligated to retain or provide access to your data after the retention period

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIGHTYWIDGETS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

Your use or inability to use the Service
Any unauthorized access to or use of our servers and/or personal information
Any interruption or cessation of the Service
Any bugs, viruses, or other harmful code
Any errors or omissions in any content, including AI-generated content

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO MIGHTYWIDGETS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

14. Indemnification

You agree to indemnify, defend, and hold harmless MightyWidgets and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

Your use of the Service, including your use and publication of AI-generated content
Content you create, publish, or distribute using the Service, whether created manually or with AI assistance
Your violation of these Terms
Your infringement of any intellectual property or other rights of any third party
Any claim that content you published using the Service caused harm to a third party

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved as follows:

Informal Resolution: Before initiating any formal proceedings, you agree to contact us at support@mightywidgets.com and attempt to resolve the dispute informally for at least 30 days
Jurisdiction: If informal resolution is unsuccessful, any legal action or proceeding shall be brought exclusively in the courts of the Province of Saskatchewan, Canada, and you consent to the jurisdiction of such courts
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MightyWidgets regarding your use of the Service, and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the Service.
